THTH Association of Decentralized Information Management for Industry (THTH) activities are focused on areas where substantial improvements are needed. The driving forces of the activities are the stengthened demands of the information management in industry regarding the availability of the data for multiple partners in projects, decentralized project realisations and increased plant runnability requirements.

Decentralization of the service activities to partners that can provide these services most efficiently means that the necessary information to fulfil the accomplishments shall be available for them, regardless the hour when or the place where the information is needed. Additionally, the information must be easily and confidentially updated, preferably fully automatic between different systems of the partners.

Decentralized information management decreases unnecessary manual data transferring and rewriting. Instead of data transfer from point-to-point between two partners the data shall be available for all authorized users in real time. This means also that the company procedures are improved and the risk of mistakes are minimized.

Simantics platform can be used for integrating simulation solvers and different engineering design systems. In addition, it is a good starting point for new modelling and simulation software development

THTH/Simantics and membership

Simantics Division in THTH association is open for both organisational and individual members. The THTH/Simantics Division rules and regulations and the membership benefits are represented below. The THTH Simantics Division is designed to be the contact point for the Simantics Ecosystem, where all the actors in the field have opportunity to influence the maintenance and development of the Simantics platform.

Simantics Division Rules and Regulations

Purpose and Role

The name of the Division is Simantics Division. Simantics Division operates under the Association of Decentralized Information Management for Industry THTH (herein after THTH) in accordance with its Bylaws Article 2. Name Simantics project can be used in marketing and in the THTH web site.

The Board of THTH has accepted these Simantics Division Rules and Regulations on 14.2.2017 in accordance with THTH’s Bylaws Article 10.

The primary objective of the Simantics Division is to arrange maintenance and coordinate further development of Simantics software. In addition, the division will arrange training, seminars and other events related to the Simantics software. Simantics is an open source software published under the license that is defined in these rules and regulations.

Simantics Division uses membership fees and other means in order to fulfil its objectives. Simantics Division arranges annual Simantics seminar and the Simantics General Meeting is arranged in conjunction with it. General Meeting approves the software maintenance frame plan for the next year. Management Board is responsible for the execution of the frame plan. Simantics Division arranges also general and advanced training sessions.

Principle of non-profitability

THTH is founded for the common realisation of a non-profit purpose and this applies also to the Simantics Division.

Membership

As a member of the Simantics Division (hereinafter Member), the Member enjoys the membership benefits according to the Table 1. The Member categories, membership fees and amount of votes are also defined in the Table 1.

Member components are software components on top of Simantics platform that are maintained, distributed and further developed only between gold and platinum members of the division and the original contributor of the component. The components are divided into member components and public components by the contributing party. If the contribution is done by the division, the management board will make the decision.

When a legal entity of a corporation is a gold or platinum member of Simantics Division another legal entity of the same corporation can get full access to the Simantics Member Components by paying an annual software maintenance fee. This fee is decided annually by Simantics Division Board. Full access means that the party can utilize the Member Components under the terms of Simantics Member Component license. Simantics Division Board may decide about credit for those parties contributing to the Member Components. This credit may be e.g. price reduction in maintenance fees, or cost-free years.

Division will enter as an income the corresponding THTH membership fees to the association. In kind work can be taken into account as part of the division membership fee as decided by the Management Board.

Membership of the Simantics Division is open to all members of the THTH that commit to the goals of the Simantics Division.

Each member of the THTH wishing to join the Simantics Division shall send an application to the Simantics Management Board, which shall for Simantics division’s part accept new Members.

Non-members of the THTH wishing to join the Simantics Division shall send their applications either to the Simantics Management Board or to the THTH Board. Both boards shall separately accept new Members.

A Member may resign from its membership of the Simantics Division at any time by giving a written resignation notification to the Simantics Management Board. Payed membership fees are not returned.

A Member may be expelled from the membership of the Simantics Division by Simantics Management Board decision in the following cases:

  • A Member has not paid its membership fees
  • A Member has acted against the goals and aims of the Simantics Division
  • A Member has breached these Rules and Regulations or THTH’s Bylaws
  • A Member has resigned or been expelled from THTH

The expulsion becomes effective on the date of the Simantics Management Board decision. The expulsion may not be decided until the Member has been given the opportunity to give its position on the matter.

A Member is not liable for any acts or omission of Simantics Division or THTH.

Governance

Simantics Division has the following decision making bodies:

  • Simantics General Meeting consisting of one (1) representative of each Member.
  • Management Board consisting of 3 to 12 members to be elected by the Simantics General Meeting. Board shall select a chairman and secretary in their first meeting.
  • Technical Board consisting of 3 to 12 members to be chosen the Simantics General Meeting. Board shall select a chairman and secretary in their first meeting.

(Management Board and Technical Board hereinafter also referred to as Board)

Simantics Division and its decision making bodies operate under the governance structure of the THTH and all issues identified in THTH’s Bylaws shall be decided by THTH.

The operational financial management shall be handled by Simantics Division secretary of the Management Board in co-operation with THTH’s treasurer.

Simantics General Meeting shall:

  1. elect the Board members
  2. approve the annual report for the previous year
  3. approve the frame plan of operation and the budget for the current year. Frame plan includes release roadmap and timetable, main big new features and training plan

Management Board shall decide on:

  1. proposal for the frame plan and budget to be approved by the General Meeting
  2. approval of the exact content of the new releases of Simantics
  3. sub-contracting related to the software development, training and seminars according to the accepted frame plan
  4. making proposals to the THTH Board of Directors to change these Rules and Regulations
  5. making proposals to the THTH Board of Directors to terminate the Simantics Division
  6. the transfer of copyrights of the Contributions either to another body continuing the Simantics activity or back to the Contributors in case of termination of the Simantics

Technical Board shall:

  1. prepare a proposal for the Management Board for the exact content of the new releases of Simantics
  2. prepare a proposal for the Management Board for the content of the training sessions
  3. update simantics.org website both public and member areas

Simantics General Meeting

  • Simantics General Meeting shall be held in conjunction with the annual Simantics seminar that shall be held before the end of March
  • In the Simantics General Meeting each Member shall have the amount of votes corresponding to its member category as identified in the Table 1.
  • Otherwise the Bylaws of THTH ry shall be applied to the Simantics General Meeting.

Management Board and Technical Board:

  • Each Board member shall have the amount of votes corresponding to its member category as identified in the Table 1. If there are several Board members representing the same Simantics Division Member, only one of them has the right to vote.
  • The Board has the competence to make decisions (quorum) if at least 2/3 of its Board members are present or represented in the meeting.
  • Decisions shall be taken by a majority of at least 2/3 of the votes of the Board members present or represented in the meeting.
  • The chairperson shall convene ordinary meetings of the Board at least once every 6 months and shall also convene extraordinary meetings at any time upon written request of any Board member.
  • The chairperson shall give notice of a meeting and an agenda in writing (mail or e-mail) to each Board member no later than 14 calendar days preceding an ordinary meeting and 7 calendar days preceding an extraordinary meeting.
  • Any decision may also be taken without a meeting if the chairperson circulates to all Board members a written document which is then signed by the above defined majority of Board members and votes.
  • Meetings of the Board may also be held by teleconference or other telecommunication means.
  • The secretary of the board shall produce written minutes of each meeting which shall be the formal record of all decisions taken. The secretary shall distribute draft minutes to all Board members within two weeks of the meeting. The final minutes shall be distributed to all members of the Simantics Division.

Licensing Policy

Simantics is an Integration Environment for Modelling and Simulation Software. Technical specification of Simantics and its components can be found from www.simantics.org.

EPL shall mean the Eclipse Public License v 1.0 as attached to these Rules and Regulations as Attachment 1 or its subsequent versions.

THTH shall make Simantics available as open source software under EPL. The Contribution shall thereby be available also to the Contributor under EPL.

Each party making a Contribution to Simantics transfers the ownership and copyrights to its Contribution to THTH to be administered and distributed under the Simantics Division and thereby included in the official version of Simantics. THTH shall not be allowed to transfer the ownership and copyright to any third party, except for a non-profit purpose entity continuing the Simantics activity according to the same principles as the current Simantics division.

New releases of Simantics shall be approved by the Management Board.

Changes to the Simantics Division Rules and Regulations

Changes to these Rules and Regulations shall be proposed by the Management Board to be decided by the THTH Board.

Termination of the Simantics Division

Terminating the Simantics Division shall be proposed by the Management Board to be decided by the THTH Board.

Simantics Division terminates automatically in case THTH is dissolved.

In case of termination of the Simantics Division the copyrights of the Contributions are transferred either to another body continuing the Simantics activity or back to the Contributors as decided by the Management Board.

The termination of the Simantics Division does not affect the licenses already granted under EPL, which continue to exist regardless of the termination.
